Terms and conditions for LIP club registration

1. Definitions

We - Lipdukai.eu, a platform offering goods and services online.
You - an individual, business/represented organization, educational institution registering in the LIP club and participating in the affiliate program.
Your sales - orders made using your unique code or link, the value used to calculate commissions.
Commissions - a percentage of your sales that will be transferred to your account.
LIP euros - monetary units accumulating in your account for completed sales, convertible to euros. 1 LIP euro = 1 euro.

LIP club account - an account where your commissions accumulate, which can be used for shopping or (in certain cases) withdrawn.

Loyalty program account - an account in your profile where LIP euros earned from shopping accumulate. You cannot withdraw these LIP euros, they can be used for shopping and cover up to 100% of the basket amount.

2. Main Conditions

• Currency - Euro (€).

• Minimum payout - 50 EUR * Withdrawal is not available for educational institutions

• Commission percentage - 10% for each sold item ordered using your unique code or link.

• Buyer discounts - 5% discount when the buyer uses your unique link or code.

• Your discounts - after paying for your shopping cart, you will receive:

a) 2% of the cart total to your loyalty program account;

b) 5% of the cart total to your LIP club account (effective after the first use of your discount code/link)

3. Partnership Terms

By joining the LIP club, you agree to these rules and conditions from the moment your account is confirmed.

3.1. Our relationship with you is defined as independent contracting parties, not as employer and employee, franchisor and franchisee, partners or co-owners.

4. Commission Accumulation and Payment Procedure

             4.1. For educational institutions:

           4.1.1. Accumulated LIP euros can be exchanged for goods or gift vouchers at the educational institution, but cannot be withdrawn.

           4.1.2. Commissions are accumulated in the LIP club account and can be used together with LIP euros in the Loyalty program account when shopping on the Lipdukai.eu platform, covering up to 100% of the shopping cart total.

           4.2. For other LIP club members:

           4.2.1. When your commissions reach the minimum payment threshold, upon your request, we will transfer the accumulated amount to your chosen bank account within 14 days of the request, if you are able to issue an invoice.

           4.2.2. Accumulated LIP euros in the loyalty program account are intended only for shopping and cannot be withdrawn.

           4.2.3. By agreeing to these rules, you confirm that you are a member of the LIP club or have permission to represent a member and can provide appropriate proof of your authorization and bank account for payment processing.

           4.2.4. Payment requests must be submitted by email to info@www.sensorinisugdymas.lt and must include your individual activity, institution, or business registration number.

           4.2.5. If you are not registered as an individual business, you can choose a Lipdukai.eu gift voucher or goods for the accumulated LIP euros.

4.3. General conditions:

4.3.1. Each paid order made using your code or link entitles you to commissions, which are accumulated in your account, LIP club account.

4.3.2. If a customer returns goods or does not make a payment, the LIP euros belonging to you will be reduced.

5. Unique codes and links

5.1. You will be provided with a unique code and link that customers can use to receive discounts at Lipdukai.eu. Unique code and link are necessary for us to identify you and calculate commissions.

5.2. Commissions will not be assigned for sales that did not use your code or link.

6. Advertising requirements

Upon determining that your advertisement is being used harmfully or does not meet the requirements set out in these rules, all earned commissions will be revoked.

6.1. Advertising is not tolerated if it violates laws, spreads misleading information, or directs to pirated or counterfeit goods.

6.2. Advertising must be done fairly, adhering to principles of ethics and professionalism.

6.3. It is prohibited to advertise our products on websites where laws are violated or inappropriate information is spread.

7. Our rights

7.1. We reserve the right to refuse to accept or edit any order and may change any of our offered products.

7.2. We will investigate and resolve issues related to customer claims.

7.3. We reserve the right to directly contact customers regarding order fulfillment.

7.4. We have the right to provide a justified warning about any violations of our rules and conditions, which may negatively affect us.

8. Our responsibility

According to legal provisions, our liability is limited to commission calculation and payment.

9. Your responsibilities

9.1. You will not represent or act as an authorized representative for us;

9.2. You will not make statements related to our business that are not directly authorized by us;

9.3. You will not exhibit behavior that could negatively impact our reputation.

10. Commissions and Changes
Lipdukai.eu reserves the right to change commission percentages, informing partners about it at least 30 days before the changes.

11. Confidentiality
All information provided by us must be kept confidential and identified as Confidential Information. It is prohibited to distribute or disclose it without our written consent.

12. Termination of Agreement
This agreement may be terminated by mutual agreement or due to breaches, by informing the other party and fulfilling mutual obligations.

13. Dispute Resolution
All disputes will be resolved through negotiations, based on principles of reasonableness. In case of failure to reach an agreement, disputes will be settled in the courts of the Republic of Lithuania.

14. Legal Basis
This agreement is governed and interpreted according to the laws of the Republic of Lithuania, whose courts have jurisdiction, and it is valid within the territory of the Republic of Lithuania.
